What is a confidential information memorandum?
Direct answer
A confidential information memorandum, or CIM, is the detailed marketing document for a community that is for sale. It presents the financials, operations, property and market to prospective buyers. In a confidential senior housing sale it is shared only after a buyer signs a nondisclosure agreement.
What to know
A CIM goes well beyond a listing summary. It typically covers the community's financial performance, census and payor mix, staffing, surveys, the physical plant and the local market, packaged so a qualified buyer can decide whether to make an offer.
Confidentiality is the point of the process around it. Haven markets a community first with an anonymous summary to registered, pre-qualified buyers. Only buyers who sign an NDA receive the CIM, which is when they learn the community's identity. Staff, residents and families are told only when the seller authorizes it, usually as part of transition planning around closing.
